Our Constitution Walsall Road Allotments Society Title The name of the society shall be – “Walsall Road Allotments Society” Objectives 1. To promote the interests of all members in their gardening activities, including co-operating with other gardening associations in matters of mutual interest. 2. To maintain and improve facilities which will help Members to pursue these activities. 3. To conduct negotiations with the local authority on all matters relating to the allotments 4. To take action to protect members and their plots against damage, trespass and theft 5. To maintain and improve the condition of the site as a whole and to encourage and educate others to do the same. Membership Membership of the Society shall be open to:- a) All persons 18 years old and over who are allotment holders on the Walsall Road Allotment site. b) Well-wishers anywhere, who shall be called Associate Members. Associate Members shall not have the right to vote at Members meetings. Officers The office bearers of the Society shall be:- Chair Treasurer Secretary All Officers shall hold office for one year only unless re-elected or unopposed at the Annual General Meeting at which they are due to retire. Committee The affairs of the Society shall be governed by a General Committee consisting of the three Officers and not less than six members. The members shall retire annually and shall be eligible for re-election. Four committee members shall form a quorum having full powers of the committee. Any vacancy on the committee occurring during the year shall be filled by the committee. The committee may appoint such members as it shall see fit to act as assistants. The General Committee may determine the powers and terms of reference of any Sub committee and duration of its activities. Elections All elections of Officers and Committee members shall take place at the Annual General Meeting. A simple majority shall suffice to show the intent of members voting. Procedure All proposals at any meeting other than a committee meeting shall be seconded by a member other than the member proposing and all such proposals shall be decided by a show of hands. A simple majority shall suffice to show the intent of the members voting and in the event of the voting being equal for and against, the Chairman shall have the casting vote. Annual General Meeting The Annual General Meeting shall take place not later than the last Sunday in May and 21 days notice thereof shall be given to all members. Finance The Treasurer shall keep proper account of the finances of the Association and shall open a bank account in the name of the Association. The Society’s accounts shall be certified by Auditors and shall be made up to the Society’s financial year, and shall be presented at the Annual General Meeting. Closing down of the Society If 2/3rds of the active Committee members think that the Society should be closed down, the Committee should call a Special Meeting open to all members to discuss & vote on this. 14 days' notice should be given, and the purpose of the meeting should be publicised. Any decision will be reached by a majority vote. If the decision reached is to dissolve the Society, then the Committee should donate the assets (money, equipment, etc.) to another legally constituted organisation or charity. THIS CONSTITUTION was adopted as the constitution of the Walsall Road Allotments Society after consultation with the tenants
